AGREEMENT TO TERMS
These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “your,”), and CNGoodsBuy.com (“we,” “us,” “our,” or “the Company”), concerning your access to and use of the https://www.cngoodsbuy.com website as well as any related services (collectively, the “Services”).
You agree that by accessing the site and using our Services, you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
1. SERVICES OVERVIEW
CNGoodsBuy.com provides a non-exclusive, non-transferable service to international customers (“Customers”) to facilitate the purchase, consolidation, and international shipping of goods from Chinese e-commerce platforms, including but not limited to Taobao, 1688.com, and Weidian (the “Source Platforms”). We act as your agent to purchase items on your behalf, receive them at our warehouse in China, consolidate packages, and ship them to your designated international address.
2. USER ACCOUNTS AND REGISTRATION
To use our Services, you must register for an account. You agree to:
Provide accurate, current, and complete information during the registration process.
Maintain and promptly update your account information to keep it accurate and complete.
Maintain the security of your password and accept all risks of unauthorized access to your account.
Notify us immediately of any unauthorized use of your account.
Ensure you are at least 18 years of age or the age of majority in your jurisdiction.
You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate your account at our sole discretion if we suspect any fraudulent, abusive, or illegal activity.
3. PLACING ORDERS & OUR AGENCY ROLE
3.1. Agent, Not Seller: When you place an order through our Service, you appoint us as your agent to purchase the specified products from the Source Platforms on your behalf. The contract for the sale of goods is directly between you and the third-party seller on the Source Platform. We are not a party to that transaction and are not responsible for the quality, safety, legality, or any warranties related to the goods.
3.2. Order Information: You are solely responsible for providing the correct and complete product information, including but not limited to:
Accurate product links from the Source Platforms.
Correct product specifications (size, color, version, etc.).
Any specific instructions for the seller.
We are not liable for purchasing the wrong item if the information you provide is incorrect or incomplete.
3.3. Order Cancellation and Modifications: You may request to cancel or modify an order, but we cannot guarantee that such requests will be fulfilled, as we will process orders promptly upon receipt. Once an order is placed with the seller, cancellation may not be possible.
4. PAYMENT AND FEES
4.1. Fee Structure: Our fees consist of:
Product Cost: The price of the item as listed on the Source Platform.
Service Fee: Our fee for purchasing and handling the item.
Domestic Shipping: Shipping cost from the Chinese seller to our warehouse.
International Shipping: Calculated based on the parcel’s final weight, dimensions, destination, and chosen shipping method.
Optional Services: Fees for services like product photos, repackaging, etc.
4.2. Payment Authorization: By providing a payment method, you represent that you are authorized to use the designated payment method and you authorize us (or our third-party payment processor) to charge your payment method for the total amount of your order, including all applicable fees and taxes.
4.3. Price Fluctuations: Prices on Source Platforms are subject to change. We will charge you the price at the time of purchase. In case of a significant price increase, we will seek your authorization before proceeding.
5. INTERNATIONAL SHIPPING AND CUSTOMS
5.1. Shipping Agent: You appoint us as your agent to select and engage a third-party freight forwarder to ship your goods internationally.
5.2. Customs and Import Duties: You are the importer of record for all goods shipped internationally.
You are solely responsible for complying with all laws and regulations of the destination country.
Any customs duties, taxes, or import fees imposed by your country are your sole responsibility.
We are not liable for any delays, seizures, or destruction of goods by customs authorities.
5.3. Prohibited Items: You are strictly prohibited from ordering items that are illegal, restricted, or hazardous according to international law or the laws of the destination country (e.g., weapons, narcotics, counterfeit goods, flammable materials, certain batteries). We reserve the right to refuse to process or ship any item we deem, in our sole discretion, to be prohibited. Violation of this clause will result in immediate account termination without refund.
6. INTELLECTUAL PROPERTY RIGHTS
The Services, including their original content, features, functionality, logos, and design are owned by us and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of our Services without our express written permission.
7. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
7.1. “AS IS” Service: THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU USE THE SERVICES AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CNGOODSBUY.COM, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
8. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless CNGoodsBuy.com and its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including attorney’s fees) arising from:
Your use of and access to the Services.
Your violation of any of these Terms.
Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
Any goods you order through the Services, including claims of infringement or personal injury caused by the goods.
9. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, People’s Republic of China, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms shall be first attempted to be resolved through friendly negotiations. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration which shall be conducted in accordance with the HKIAC’s rules in effect at the time of applying for arbitration. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English.
10. TERMINATION
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.
11. CHANGES TO TERMS OF SERVICE
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the “Last Updated” date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
